TERMS & CONDITIONS (valid from the 25th of December, 2023.)

These terms and conditions (“T&Cs”) apply to Your access to, and use of the Application (defined hereinbelow). The Application is operated by TourYoo and its subsidiaries, associates, licensees, and affiliated companies (“TourYoo”).

You acknowledge that TourYoo is providing you with a revocable license to use limited features of the Application and is not selling the Application or any features or technologies contained therein.

By continuing usage of the Application, You are consenting to be bound by these T&Cs. PLEASE ENSURE THAT YOU READ AND UNDERSTAND ALL THESE T&Cs BEFORE YOU USE THE APPLICATION AND FEATURES CONTAINED THEREIN. If You find any of the T&Cs unacceptable, do not tender your acceptance to use the Application or avail any of its features. YOUR AGREEMENT TO THESE T&Cs SHALL OPERATE AS A BINDING AND LEGALLY ENFORCEABLE AGREEMENT BETWEEN YOU AND ANI IN RESPECT OF THE FEATURES OFFERED/AVAILED USING THE MOBILE APPLICATION.

I. DEFINITIONS

All of the defined and capitalized terms in these T&Cs will have the meaning assigned to them here below:

• “Account” refers to the User’s account on the mobile application TourYoo enabling the use of the Application by the User
   
• “Application” shall mean the mobile application “TourYoo” and shall mean and include any updates provided by TourYoo from time to time.
     
•  “Registration Data” shall mean and may include the present, valid, true and accurate name, Email ID, age and such other information as may be required by TourYoo from time to time, provided by the Users at the time of registration on the mobile application TourYoo or otherwise.
     
• “User” or "Customer" shall mean persons who have created an Account and use the Application.

• "Partner" shall mean all service providers, drivers, and vendors (shops, restaurants) that register to the TourYoo system to offer their services via the TourYoo application to the Users. 
• "You", “Your" or “Yourself” shall mean a reference to the User accessing the Application

II. ELIGIBILITY AND REGISTRATION

• By accessing the Application, You represent and warrant that You are at least 18 years old and are capable of entering into a legally binding agreement.
• To use certain features of the Application, You may be required to create an Account. In doing so, You agree to provide accurate, current, and complete Registration Data as prompted by the registration process and to maintain and update this information to keep it accurate, current, and complete.
• TourYoo reserves the right to suspend or terminate Your Account and access to the Application if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.

III. LICENSE GRANT AND RESTRICTIONS

• Subject to Your compliance with these T&Cs, TourYoo grants You a limited, revocable, non-exclusive, non-transferable license to use the Application for Your personal, non-commercial use.

• You shall not: a. License, sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the Application in any way; b. Modify or make derivative works based upon the Application; c. Create Internet "links" to the Application or "frame" or "mirror" any Application on any other server or wireless or Internet-based device; d. Reverse engineer or access the Application in order to: i. Build a competitive product or service; ii. Build a product using similar ideas, features, functions, or graphics of the Application; iii. Copy any ideas, features, functions, or graphics of the Application.

• You are responsible for maintaining the confidentiality of Your Account login information and for all activities that occur under Your Account. You agree to: a. Immediately notify TourYoo of any unauthorized use of Your Account or any other breach of security; b. Ensure that You exit from Your Account at the end of each session.
• TourYoo shall not be liable for any loss or damage arising from Your failure to comply with this section.

• The use of the Application is generally free for Users, Service Providers, and Merchants. However, fees may apply for certain premium features or services as outlined in the Premium Membership terms.

• Users shall pay for the services, products, or goods provided by Service Providers or Merchants through the Application. Payment can be made in cash or via credit/debit card.

• Service Providers and Merchants shall settle payments with TourYoo according to the agreed-upon schedule through bank transfers or credit/debit card transactions.

VI. PREMIUM MEMBERSHIP

• TourYoo offers a Premium Membership that provides additional benefits to Partners who opt for it. The terms and conditions for Premium Membership will be communicated individually and may include preferential commission rates and other advantages.
• The specifics of Premium Membership, including its duration, benefits, and costs, will be communicated through direct correspondence between TourYoo and the respective Partners.

VII. DISCLAIMERS

• The Application is provided on an "as is" and "as available" basis without any warranties, expressed or implied.

• TourYoo does not guarantee the accuracy, completeness, or timeliness of the information provided on the Application.

VIII. TERMINATION

• TourYoo reserves the right to terminate or suspend Your access to the Application at its sole discretion, without notice, for any reason, including breach of these T&Cs.

• These T&Cs shall be governed by and construed in accordance with the laws of Malta, and any disputes arising under or in connection with these T&Cs shall be subject to the exclusive jurisdiction of the Maltese courts.
• By using the Application, You agree to abide by these terms and conditions. TourYoo may update or modify these T&Cs at any time, and it is Your responsibility to review them periodically. If You continue to use the Application after changes are made, You implicitly accept the revised T&Cs.
